POSTURELATES™ TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Member,” “Customer,” or “you”) and Posturelates LLC, a Pennsylvania limited liability company (“Posturelates™,” “Company,” “we,” “us,” or “our”), governing your access to and use of posturelates.com, all associated websites, mobile applications, programs, memberships, coaching services, instructor certifications, merchandise, downloadable materials, community forums, social media groups, and related services (collectively, the “Services”).

BY ACCESSING, PURCHASING, REGISTERING FOR, OR USING ANY POSTURELATES™ SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

If you do not agree to these Terms, do not access or use the Services.


1. ELIGIBILITY

You must be at least eighteen (18) years of age to use the Services.

By using the Services, you represent and warrant that:

  • You are at least eighteen (18) years old;
  • You possess the legal capacity to enter into binding agreements;
  • All information provided by you is accurate and complete;
  • Your use of the Services complies with all applicable laws.

Individuals under the age of 18 are strictly prohibited from creating accounts, purchasing programs, participating in coaching, joining communities, or accessing any Posturelates™ content.


2. NATURE OF SERVICES

Posturelates™ is an educational fitness and movement training system focused on posture, alignment, mobility, strength, stability, balance, and movement control.

The Services are provided solely for educational and informational purposes.

Posturelates™ does not provide:

  • Medical care
  • Physical therapy
  • Occupational therapy
  • Chiropractic treatment
  • Rehabilitation services
  • Medical diagnosis
  • Disease treatment
  • Healthcare services

Participation in any Posturelates™ activity is voluntary and undertaken entirely at your own risk.


3. ACCOUNT REGISTRATION

Certain Services require account registration.

You agree to:

  • Provide truthful information;
  • Maintain current account information;
  • Keep login credentials confidential;
  • Notify us immediately of unauthorized access.

You are solely responsible for all activity occurring under your account.

Account sharing is prohibited.


4. MEMBERSHIPS

Posturelates™ may offer:

  • Monthly memberships
  • One-time program purchases
  • Live coaching programs
  • Instructor training programs
  • Certification programs
  • Digital downloads
  • Community memberships

Features and pricing may change at any time.


5. AUTOMATIC RENEWAL

Membership subscriptions automatically renew until canceled.

By purchasing a subscription, you authorize Posturelates™ to charge your payment method on a recurring basis.

To avoid renewal charges, cancellation must occur at least twenty-four (24) hours before the next billing date.

Access remains available until the end of the current billing period.


6. PAYMENT TERMS

You agree to pay all fees associated with your purchases.

Prices are displayed in U.S. Dollars unless otherwise specified.

You are responsible for all taxes, duties, VAT, customs fees, and governmental charges applicable in your jurisdiction.

Failure to maintain valid payment information may result in suspension or termination of Services.


7. REFUNDS

Refund eligibility is governed by the Posturelates™ Refund Policy.

No refunds are guaranteed except as specifically stated in that policy.

Failure to use a purchased program does not create eligibility for a refund.


8. HEALTH ACKNOWLEDGMENT

You acknowledge that exercise involves inherent risks including but not limited to:

  • Falls
  • Loss of balance
  • Muscle strains
  • Joint injuries
  • Tendon injuries
  • Ligament injuries
  • Aggravation of existing conditions
  • Permanent disability
  • Death

You agree to consult a physician before participating.

You assume all risks associated with participation.


9. NO GUARANTEES

Posturelates™ makes no guarantees regarding:

  • Weight loss
  • Pain reduction
  • Posture correction
  • Balance improvement
  • Injury prevention
  • Fall prevention
  • Athletic performance
  • Physical appearance
  • Health outcomes

Results vary significantly among individuals.

Testimonials do not guarantee similar outcomes.


10. INTELLECTUAL PROPERTY

All Posturelates™ content is protected by copyright, trademark, trade secret, and intellectual property laws.

This includes:

  • Videos
  • Exercise systems
  • Scripts
  • Assessments
  • Certifications
  • Worksheets
  • Graphics
  • Logos
  • Program structures
  • Downloads
  • Written materials

No content may be copied, reproduced, sold, distributed, shared, modified, or republished without written permission.


11. PROHIBITED CONDUCT

Users may not:

  • Share login credentials
  • Record or redistribute content
  • Repackage Posturelates™ methodologies
  • Use automated scraping tools
  • Harass other members
  • Upload malicious software
  • Impersonate others
  • Infringe intellectual property rights

Violations may result in immediate account termination.


12. USER-GENERATED CONTENT

Any content posted by users remains their property.

However, by posting content within Posturelates™ communities, you grant Posturelates LLC a perpetual, worldwide, royalty-free license to display, reproduce, distribute, and use such content in connection with operating and promoting the Services.


13. INSTRUCTOR CERTIFICATION

Future instructor certifications do not create employment, partnership, franchise, agency, or joint venture relationships with Posturelates LLC.

Certified instructors operate independently unless otherwise agreed in writing.

Certification may be revoked at any time for failure to comply with certification standards.


14. TERMINATION

We may suspend or terminate access without notice if:

  • These Terms are violated;
  • Fraud is suspected;
  • Intellectual property violations occur;
  • Community standards are violated.

Termination does not eliminate outstanding payment obligations.


15. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

POSTURELATES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY

WE DO NOT GUARANTEE UNINTERRUPTED ACCESS TO THE SERVICES.


16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSTURELATES LLC SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • SPECIAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • LOST PROFITS
  • LOST DATA
  • PERSONAL INJURY CLAIMS ARISING FROM VOLUNTARY PARTICIPATION

IN NO EVENT SHALL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY THE USER TO POSTURELATES™ DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


17. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Posturelates LLC and its owners, instructors, affiliates, contractors, employees, successors, and assigns from any claims, damages, liabilities, losses, costs, and attorneys’ fees arising from:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of any law;
  • Your infringement of intellectual property rights.

18. ARBITRATION AGREEMENT

Any dispute arising from these Terms shall be resolved through binding arbitration.

Users waive the right to trial by jury.

Users waive participation in class-action proceedings.

Arbitration shall occur in Northampton County, Pennsylvania unless otherwise required by law.


19. GOVERNING LAW

These Terms shall be governed by the laws of the Commonwealth of Pennsylvania without regard to conflict-of-law principles.

NO DOCTOR-PATIENT RELATIONSHIP

Use of Posturelates™ does not create:

• A physician-patient relationship

• A therapist-patient relationship

• A trainer-client medical relationship

• Any healthcare provider relationship

No instructor, coach, employee, contractor, or representative of Posturelates™ is acting as your physician or healthcare provider.

PARTICIPATION IS VOLUNTARY

You acknowledge that participation in Posturelates™ programs is entirely voluntary.

You are solely responsible for determining whether any exercise, stretch, movement, or recommendation is appropriate for your personal circumstances.

If any exercise causes pain, dizziness, numbness, shortness of breath, instability, weakness, or discomfort, stop immediately and seek appropriate medical advice.

INDIVIDUAL RESULTS VARY

Results vary significantly among individuals.

Posturelates™ makes no representations or guarantees regarding:

• Pain reduction

• Improved posture

• Increased mobility

• Improved balance

• Reduced fall risk

• Improved athletic performance

• Weight loss

• Improved health

ASSUMPTION OF RESPONSIBILITY

By using Posturelates™, you acknowledge that you assume full responsibility for your decisions, actions, participation, and results.

You voluntarily accept all risks associated with participation.

I understand that participation in fitness activities, balance training, mobility exercises, stretching, posture correction exercises, strength training, coaching sessions, workshops, certifications, and all Posturelates™ activities involves inherent risks.

I understand that these risks may include, but are not limited to:

• Falls

• Loss of balance

• Muscle strains

• Muscle tears

• Tendon injuries

• Ligament injuries

• Joint injuries

• Neck injuries

• Back injuries

• Aggravation of pre-existing conditions

• Dizziness

• Cardiovascular events

• Permanent disability

• Death

I understand that some Posturelates™ programs specifically involve balance and stability training, which may increase the possibility of falls or loss of balance.

I knowingly and voluntarily assume all risks associated with participation.

RELEASE OF LIABILITY

In consideration for being permitted to participate in Posturelates™ activities, I hereby release and forever discharge:

Its instructors

Its coaches

Its contractors

Its employees

Its affiliates

Its successors

Its assigns

From any and all claims, demands, actions, causes of action, liabilities, losses, damages, costs, expenses, and attorney fees arising from or related to my participation.

This release applies whether arising from:

• Negligence

• Ordinary carelessness

• Premises conditions

• Equipment use

• Instructional content

• Coaching recommendations

• Community participation

• Digital program participation

To the fullest extent permitted by law.

NO GUARANTEE OF RESULTS

I acknowledge that no guarantee has been made regarding:

• Improved posture

• Improved mobility

• Improved balance

• Fall prevention

• Strength gains

• Pain reduction

• Any specific outcome

I understand that outcomes vary significantly among participants.

INDEMNIFICATION

I agree to indemnify, defend, and hold harmless Posturelates LLC from any claims resulting from my actions, participation, misuse of the Services, or violation of applicable laws.

ELECTRONIC ACCEPTANCE

I acknowledge that checking an acceptance box, creating an account, purchasing a membership, participating in coaching, accessing content, or otherwise using the Services constitutes my electronic signature and agreement to this Release of Liability.

POSTURELATES™ INFORMED CONSENT FOR EXERCISE PARTICIPATION

PURPOSE OF THIS CONSENT

Posturelates™ is a posture-first movement system designed to improve alignment, mobility, strength, balance, stability, and movement control.

Participation requires your voluntary informed consent.

ACKNOWLEDGMENT OF PHYSICAL ACTIVITY

I understand that participation may involve:

• Stretching

• Balance exercises

• Strength exercises

• Core training

• Mobility training

• Resistance exercises

• Stability exercises

• Floor exercises

• Standing exercises

• Coaching activities

• Instructor-led classes

• Certification workshops

HEALTH REPRESENTATIONS

By participating, I represent that:

• I am at least 18 years old.

• I understand the physical demands of exercise.

• I have consulted a healthcare professional if appropriate.

• I am physically capable of participating.

• I will stop any activity that causes pain, dizziness, instability, or discomfort.

UNDERSTANDING OF RISKS

I understand participation may result in:

• Muscle soreness

• Fatigue

• Temporary discomfort

• Falls

• Loss of balance

• Joint strain

• Injury

• Permanent disability

• Death

I voluntarily choose to participate despite these risks.

RESPONSIBILITY FOR SELF-MONITORING

I understand that I am responsible for monitoring my own condition throughout participation.

I agree to stop immediately if I experience:

• Chest pain

• Shortness of breath

• Dizziness

• Weakness

• Loss of coordination

• Numbness

• Severe pain

• Any unusual symptoms

NO MEDICAL SUPERVISION

I understand that Posturelates™ instructors, coaches, and certified instructors are not acting as healthcare providers.

Any suggestions, demonstrations, or educational materials are not medical advice.

CONSENT TO PARTICIPATE

I voluntarily consent to participate in Posturelates™ programs, coaching services, certifications, community activities, workshops, and related Services.

I acknowledge that my participation is voluntary and undertaken entirely at my own risk.

ELECTRONIC SIGNATURE

I understand that by checking an acceptance box, creating an account, purchasing a program, joining a membership, participating in coaching, or otherwise accessing Services, I am providing my legally binding electronic signature and consent.

POSTURELATES™ REFUND POLICY

At Posturelates™, we are committed to providing high-quality fitness education, movement instruction, coaching, certification programs, and wellness services. By purchasing any product or service, you acknowledge that you have read, understood, and agree to this Refund Policy. This Refund Policy forms part of the Posturelates™ Terms of Service.


1. MEMBERSHIP SUBSCRIPTIONS

Monthly memberships automatically renew each billing cycle until canceled.

Cancellation requests must be submitted at least twenty-four (24) hours before the next renewal date to avoid being charged for the following billing period.

Upon cancellation, you will continue to have access through the remainder of your current paid billing period. No partial refunds or prorated credits are provided for unused time remaining in a billing cycle.

2. MEMBERSHIP REFUND ELIGIBILITY

Refund requests for an initial membership purchase or renewal must be submitted within fourteen (14) calendar days.

Because membership provides immediate access to digital content, refunds are available only if the membership has not been materially used.

A membership is considered materially used if any of the following has occurred:

• Any video content has been accessed, streamed, or viewed through the member’s account;

• Downloadable materials or digital resources have been accessed or downloaded;

• Community features, discussion groups, or member forums have been used;

• Coaching benefits have been accessed;

• Live member events or classes have been attended; or

• Any other substantial use of membership benefits has occurred.

Once a membership has been materially used, the membership benefits are considered delivered and the purchase is no longer eligible for a refund.

Approved membership refunds, when applicable, may be subject to:

• $5 processing fee for monthly memberships

• $15 processing fee for annual memberships


3. ONE-TIME DIGITAL PROGRAMS

All Posturelates™ digital programs–including workout videos, online courses, downloadable guides, digital resources, and educational materials–are delivered immediately upon successful payment.

Because digital products are immediately accessible, delivered electronically, and cannot be returned, all sales of one-time digital products are final. Access to purchased digital content constitutes confirmation that the digital product has been delivered.

No refunds, returns, exchanges, or credits will be provided after access has been granted, including when a purchaser:

• Changes their mind:

• Purchases the wrong program;

• Decides the program is not a good fit;

• Does not complete the program;

• Experiences a change in personal circumstances; or

• Simply no longer wishes to use the purchased content.

Refunds may be considered only in the following circumstances:

• Verified duplicate purchases of the same product made solely due to a billing or processing error;


4. LIVE COACHING SERVICES

Coaching sessions may be rescheduled with at least twenty-four (24) hours notice.

Missed sessions are non-refundable.

Completed coaching sessions are non-refundable.

Multi-session coaching packages may be partially refundable only for unused sessions.


5. CERTIFICATION PROGRAMS

Certification enrollment fees are non-refundable once access has been granted.

Certification materials, coursework, evaluations, examinations, and training resources are immediately accessible upon enrollment.

No refunds will be issued based upon:

• Failure to complete certification

• Failure to pass assessments

• Change of career goals

• Scheduling conflicts


6. LIVE EVENTS AND WORKSHOPS

Unless otherwise stated:

• Registration fees are non-refundable

• Tickets are non-transferable

• No refunds for missed attendance

Posturelates™ reserves the right to reschedule events when necessary.


7. MERCHANDISE RETURNS

Unused merchandise may be returned within fourteen (14) days of delivery.

Items must:

• Be unworn

• Be unwashed

• Include original tags

• Be in resalable condition

Customers are responsible for return shipping costs.


8. NON-REFUNDABLE ITEMS

The following are non-refundable:

• Downloaded materials

• Digital resources

• Completed coaching sessions

• Certification fees

• Affiliate commissions already paid

• Gift cards

• Promotional offers

• Sale items marked final sale


9. CHARGEBACKS

Customers agree to contact Posturelates™ before initiating a chargeback.

Fraudulent or abusive chargebacks may result in:

• Immediate account suspension

• Membership termination

• Collection efforts

• Legal action where permitted

Unauthorized use is prohibited.


LIMITED LICENSE

Purchasing a membership, program, certification, coaching package, or product grants a limited, revocable, non-transferable license for personal use only.

No ownership rights are transferred.


PROHIBITED ACTIVITIES

Without written permission, users may not:

• Share account credentials

• Upload content to third-party platforms

• Record videos

• Reproduce programs

• Copy assessments

• Teach Posturelates™ methodologies commercially

• Create derivative programs

• Sell training materials

• Translate content for resale

• Use AI systems to recreate proprietary course materials

• Train AI models using Posturelates™ content

• Distribute certification materials

• Share downloads

• Publish substantial portions of course content


INSTRUCTOR CERTIFICATIONS

Certification grants permission only as specifically authorized by Posturelates LLC.

Certification does not transfer ownership of:

• Program designs

• Training systems

• Assessments

• Educational materials

• Branding

Certification may be revoked at any time for misuse of intellectual property.


USER-GENERATED CONTENT

By posting content within Posturelates™ communities, forums, certifications, coaching groups, or social spaces, users grant Posturelates LLC a perpetual, worldwide, royalty-free license to:

• Display

• Reproduce

• Publish

• Distribute

• Promote

Such content in connection with Posturelates™ operations and marketing.


COPYRIGHT INFRINGEMENT

Posturelates™ respects intellectual property rights.

If you believe copyrighted content has been used improperly, submit a notice including:

• Description of copyrighted work

• Description of alleged infringement

• Contact information

• Good-faith statement

• Statement under penalty of perjury

PROHIBITED CONDUCT

MEDICAL DISCUSSIONS

Members may discuss personal experiences.

Members may not:

PRIVACY OF MEMBERS

Information shared by members should remain confidential.

Do not repost community discussions, screenshots, videos, photographs, or member information outside Posturelates™ without permission.

MODERATION

Posturelates™ reserves the right to:

POSTURELATES™ CERTIFIED INSTRUCTOR AGREEMENT

This Certified Instructor Agreement (“Agreement”) is entered into between Posturelates LLC, a Pennsylvania limited liability company (“Posturelates™”), and the individual accepting this Agreement (“Instructor”).

By enrolling in, participating in, completing, or maintaining a Posturelates™ Instructor Certification, the Instructor agrees to all terms contained herein.


1. PURPOSE

The purpose of this Agreement is to establish the rights, responsibilities, standards, limitations, and obligations governing the Instructor’s use of Posturelates™ certification credentials and related intellectual property.

Certification grants limited permission to teach approved Posturelates™ methods while maintaining compliance with Company standards.

Certification does not transfer ownership of any Posturelates™ intellectual property.


2. INDEPENDENT CONTRACTOR STATUS

Certification does not create:

• Employment

• Partnership

• Franchise

• Agency

• Joint venture

• Ownership interest

• Exclusive territory rights

Instructor operates independently and is solely responsible for:

• Taxes

• Licenses

• Insurance

• Business operations

• Legal compliance

• Client relationships

Nothing in this Agreement creates an employer-employee relationship.


3. LIMITED LICENSE

Upon successful certification and while certification remains active, Posturelates™ grants Instructor a limited, non-exclusive, non-transferable, revocable license to:

• Identify themselves as a Posturelates™ Certified Instructor

• Teach approved Posturelates™ programming

• Use authorized Posturelates™ marketing materials

• Display approved certification credentials

No ownership rights are transferred.


4. INTELLECTUAL PROPERTY OWNERSHIP

Instructor acknowledges that all rights, title, and interest in Posturelates™ intellectual property remain exclusively owned by Posturelates LLC.

Protected materials include:

• Posturelates™ methodology

• Exercise systems

• Assessments

• Progressions

• Scripts

• Certifications

• Manuals

• Worksheets

• Training systems

• Logos

• Videos

• Graphics

• Marketing materials

• Program structures

• Balance Is Earned™

• All current and future trademarks

Instructor acquires no ownership interest whatsoever.


5. PROHIBITED ACTIVITIES

Instructor may not:

• Copy certification materials

• Republish manuals

• Record certification content

• Sell certification materials

• Teach uncertified individuals how to teach Posturelates™

• Create competing certifications derived from Posturelates™

• Create derivative methodologies based upon Posturelates™

• Remove branding from proprietary materials

• Translate materials for resale

• Upload materials to AI systems for reproduction

• Use Posturelates™ content to train artificial intelligence models

• Share instructor resources outside authorized channels

• License Posturelates™ content to third parties

Violation constitutes material breach.


6. CERTIFICATION STANDARDS

Instructor agrees to:

• Maintain professional conduct

• Follow approved teaching standards

• Use proper safety procedures

• Follow all program guidelines

• Teach within certification scope

• Avoid misleading claims

• Protect participant safety

• Maintain required continuing education

Posturelates™ may modify certification standards at any time.


7. PROHIBITED CLAIMS

Instructor shall not represent that Posturelates™:

• Treats medical conditions

• Diagnoses medical conditions

• Prevents falls

• Guarantees pain relief

• Provides healthcare

• Cures disease

• Produces guaranteed results

• Replaces medical treatment

Instructor must comply with all applicable health, advertising, and consumer protection laws.


8. USE OF TRADEMARKS

Instructor may use approved Posturelates™ trademarks solely while certification remains active.

Approved examples:

“Posturelates™ Certified Instructor”

“Certified Posturelates™ Instructor”

Use of trademarks beyond these approved purposes requires written permission.

Upon expiration or termination, all trademark use must immediately cease.


9. SOCIAL MEDIA AND MARKETING

Instructor may market their services using approved branding.

Instructor may not:

• Misrepresent affiliation

• Claim ownership of Posturelates™

• Alter logos without permission

• Mislead consumers

• Represent themselves as corporate spokespersons

• Make unauthorized public statements on behalf of Posturelates™


10. CONTINUING EDUCATION

Posturelates™ may require:

• Continuing education credits

• Renewal courses

• Skill assessments

• Updated certifications

Failure to complete renewal requirements may result in expiration.


11. CERTIFICATION TERM

Certification remains active only while:

• Renewal requirements are met

• Fees are paid

• Standards are maintained

• This Agreement is followed

Certification may expire automatically if requirements are not satisfied.


12. REVOCATION OF CERTIFICATION

Posturelates™ may suspend, revoke, or terminate certification at any time for:

• Ethical violations

• Safety concerns

• Misrepresentation

• Intellectual property violations

• Criminal conduct

• Harassment

• Brand-damaging behavior

• Failure to meet standards

Revocation decisions are final.


13. EFFECT OF TERMINATION

Upon termination, revocation, or expiration:

Instructor shall immediately:

• Stop teaching as a Posturelates™ Certified Instructor

• Stop using trademarks

• Stop displaying certification credentials

• Remove Posturelates™ branding

• Return or destroy proprietary materials upon request

No refunds shall be provided.


14. INSURANCE REQUIREMENT

Instructor is strongly encouraged and may be required to maintain professional liability insurance.

Posturelates™ is not responsible for claims arising from Instructor activities.


15. INDEMNIFICATION

Instructor agrees to defend, indemnify, and hold harmless Posturelates LLC, its owners, officers, employees, affiliates, successors, and assigns from any claims, damages, liabilities, costs, expenses, or attorney fees arising from:

• Instructor’s teaching activities

• Client claims

• Business operations

• Negligence

• Misrepresentation

• Violation of law

• Breach of this Agreement


16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Posturelates™ shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

Maximum liability shall not exceed the certification fees paid by Instructor during the preceding twelve (12) months.


17. NON-DISPARAGEMENT

Instructor agrees not to knowingly make false, misleading, defamatory, or disparaging statements regarding Posturelates™, its owners, instructors, employees, programs, certifications, or business operations.

This provision shall not prohibit truthful statements required by law.


18. CONFIDENTIALITY

Instructor agrees to maintain the confidentiality of all non-public information including:

• Certification materials

• Business systems

• Manuals

• Instructor resources

• Internal communications

• Program development materials

Confidentiality obligations survive termination.


19. ARBITRATION

Any dispute arising under this Agreement shall be resolved through binding arbitration.

Instructor waives any right to jury trial.

Instructor waives participation in class actions.

Arbitration shall occur in Northampton County, Pennsylvania.


20. GOVERNING LAW

This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.


21. ENTIRE AGREEMENT

This Agreement constitutes the complete understanding between the parties and supersedes all prior discussions, representations, or agreements.

BY ENROLLING IN, ACCESSING, COMPLETING, OR RENEWING A POSTURELATES™ CERTIFICATION, INSTRUCTOR ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO THIS AGREEMENT AND THAT THEIR ELECTRONIC ACCEPTANCE CONSTITUTES A LEGALLY BINDING SIGNATURE.
